Crewing Source Terms of Service

1. Acceptance of Terms

By accessing or using Crewing Source, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Crewing Source is a software-as-a-service ("SaaS") platform that provides tools and services for crewers, technicians, and related users, including but not limited to scheduling, job assignments, notifications, communications, and related coordination functions.

Crewing Source is a technology platform only. Crewing Source does not employ technicians, guarantee work opportunities, guarantee that job offers or notifications will be sent, received, viewed, or acknowledged, and does not act as the employer, agent, representative, or payroll provider for users unless expressly stated in a separate written agreement.

3. Eligibility and Account Registration

You must provide accurate, current, and complete information when registering for an account and keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.

4. User Responsibilities

By using the Service, you agree that you are solely responsible for:

• Providing accurate contact and profile information;
• Maintaining access to your email, phone, and other notification channels;
• Reviewing schedules, job postings, assignments, updates, and communications in a timely manner;
• Using the platform in a lawful, professional, and commercially reasonable manner;
• Ensuring that your use of the Service complies with any contractual, employment, or legal obligations applicable to you.

Crewers are solely responsible for properly setting up jobs, assigning technicians, entering correct contact information, scheduling accurately, and using the Service correctly. Technicians are solely responsible for monitoring the Service and their designated communication channels for potential work opportunities, updates, and assignments.

5. No Guarantee of Notification, Scheduling Accuracy, or Work Opportunity

Crewing Source makes no representation or warranty that any notification, alert, message, email, SMS, call, or other communication will be successfully generated, transmitted, delivered, received, opened, or acted upon.

Crewing Source is not responsible for missed opportunities, missed work, scheduling conflicts, double bookings, incomplete assignments, incorrect crew placement, or any other issue arising from user error, inaccurate data entry, third-party service failures, device issues, carrier issues, spam filtering, email delivery failure, phone settings, application misuse, or failure by any crewer or technician to properly use or monitor the Service.

Without limiting the foregoing, Crewing Source is not responsible if:

• A crewer fails to correctly assign or notify a technician;
• A technician does not receive, view, or respond to a potential work opportunity;
• A user enters incorrect contact details, schedule details, or job information;
• A third-party email, SMS, hosting, telecom, or internet service provider delays or blocks a communication;
• A user fails to properly configure or monitor their account, device, notifications, or messages.

6. Fees and Subscription Terms

Certain parts of the Service may require payment of subscription or service fees. By subscribing, you agree to pay all applicable fees as described at the time of purchase. Unless otherwise stated, fees are non-refundable. Crewing Source reserves the right to change pricing, subscription plans, or billing terms at any time upon reasonable notice.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, abusive, or misleading purpose;
• Interfere with or disrupt the integrity or performance of the Service;
• Attempt to gain unauthorized access to any account, system, or network;
• Upload malicious code, malware, or harmful content;
• Use the Service in a way that infringes the rights of any third party.

8. Third-Party Services

The Service may rely on or integrate with third-party services, including email providers, SMS providers, hosting services, payment processors, or communication tools. Crewing Source is not responsible for the availability, performance, failures, delays, security, or actions of any third-party service.

9. Intellectual Property

All content, software, features, functionality, trademarks, logos, and materials associated with Crewing Source are owned by or licensed to Crewing Source and are protected by applicable intellectual property laws. Except as expressly allowed, you may not copy, reproduce, modify, distribute, reverse engineer, or create derivative works from the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREWING SOURCE DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

CREWING SOURCE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR THAT COMMUNICATIONS OR NOTIFICATIONS WILL ALWAYS BE DELIVERED OR RECEIVED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREWING SOURCE AND ITS OFFICERS, DIRECTORS, OWNERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CREWING SOURCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, CREWING SOURCE SHALL NOT BE LIABLE FOR MISSED JOB OPPORTUNITIES, MISSED NOTIFICATIONS, SCHEDULING ERRORS, USER MISTAKES, CREWING DECISIONS, TECHNICIAN AVAILABILITY ISSUES, OR FAILURES BY USERS TO PROPERLY OPERATE OR MONITOR THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF CREWING SOURCE FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CREWING SOURCE FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Crewing Source and its officers, directors, owners, employees, contractors, affiliates, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, judgments, awards, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, your misuse of the Service, or your violation of any rights of a third party.

13. Suspension and Termination

Crewing Source may suspend, restrict, or terminate your access to the Service at any time, with or without notice, if you violate these Terms, if your use poses a risk to the Service or others, or for any other lawful business reason.

14. Privacy

Your use of the Service may also be governed by the Crewing Source Privacy Policy. By using the Service, you acknowledge that information may be collected, used, and stored in accordance with that policy.

15. Modifications to the Terms

Crewing Source reserves the right to modify these Terms at any time. Updated Terms will be posted with a revised effective date. Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be brought in the state or federal courts located in Colorado, and you consent to the exclusive jurisdiction and venue of such courts, unless otherwise required by applicable law.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and Crewing Source regarding use of the Service and supersede any prior or contemporaneous understandings, agreements, or communications relating to the subject matter herein.
